1
Establishment
- 1.1This Charter establishes the Advisory Board (the “Board”) of Partaw Research (the “Organization”), the research and public-good arm of Partaw, and sets out its mandate, composition, and procedures.
- 1.2Partaw, the commercial entity that builds and operates the teleradiology platform on which the Organization’s research is conducted, is referred to in this Charter as the “Operator”.
2
Mandate
- 2.1The Board provides independent expert advice to the Organization on clinical governance, research design, and data governance.
- 2.2The Board is advisory. It holds no authority to direct the Organization, to approve budgets or appointments, to enter into agreements, or to act on the Organization’s behalf. Until a governing board is constituted under Article 12, decisions of the Organization rest with its Founder.
3
Composition
- 3.1The Board comprises three seats: clinical governance, research design, and data governance. Each seat is held by one member.
- 3.2Further seats may be created as the Organization’s programs require. A new seat is published on this page before it is filled.
4
Appointment and term
- 4.1Members are appointed by invitation of the Founder and take office on written acceptance.
- 4.2A term of appointment is two years and may be renewed by mutual agreement.
- 4.3A member may resign at any time by written notice, effective on receipt. The Founder may end an appointment by written notice, stating the reason to the member.
5
Meetings and duties
- 5.1The Board meets quarterly by video conference, for approximately one hour. Meetings are scheduled no less than two weeks in advance, with regard to members’ time zones.
- 5.2Between meetings, members may be asked to review documents within their seat’s area, including study protocols, governance drafts, and data-access requests, and are allowed no less than two weeks to respond.
- 5.3The total commitment is not expected to exceed approximately twenty-five hours per year. A member may decline any individual request.
6
Remuneration and expenses
- 6.1Appointments are honorary and carry no remuneration.
- 6.2Reasonable expenses incurred on the Organization’s business and approved in writing in advance are reimbursed on receipt.
- 6.3Members are under no obligation to make or solicit financial contributions.
7
Conflicts of interest
- 7.1Each member discloses in writing, on appointment and annually thereafter, any financial interest or role that bears on the work of the Board, including any engagement by the Operator, any interest in a competing teleradiology or imaging-AI enterprise, and any relationship with a prospective funder or partner. A conflict arising during a term is disclosed when it arises.
- 7.2A member with a conflict on a matter declares it and takes no part in the Board’s advice on that matter.
- 7.3Any paid engagement of a member by the Operator is published alongside the member’s name on this site.2
8
Confidentiality and data protection
- 8.1Unpublished protocols, partner discussions, and preliminary results disclosed to members are held in confidence until published or released by the Organization.
- 8.2Members do not receive identifiable patient information. Access to de-identified research data is granted only under a written data-access agreement and for a stated purpose.
9
Authorship and acknowledgment
- 9.1Membership of the Board does not of itself confer authorship.
- 9.2Authorship of any publication arising from the Organization’s research is determined by the criteria of the International Committee of Medical Journal Editors: substantial contribution to the conception or design of the work, or to the acquisition, analysis, or interpretation of its data; drafting the work or revising it critically for important intellectual content; final approval of the version to be published; and agreement to be accountable for all aspects of the work.
- 9.3Authorship is agreed at the outset of each study and recorded in its protocol. Contributors who do not meet all four criteria are acknowledged by name, with their consent.3
10

- 10.2Members serve in an individual capacity. Institutional affiliations are given for identification only and do not imply endorsement.
11
Legal standing
- 11.1Members are not directors, officers, employees, or agents of the Organization or of the Operator. Membership confers no fiduciary duty, no obligation to contribute funds, and no power to bind either party.
12
Incorporation
- 12.1The Organization is in the process of establishing formal nonprofit status and is seeking fiscal sponsorship in the interim.
- 12.2On incorporation or fiscal sponsorship, the governing board so constituted shall adopt this Charter or a successor instrument. Members are notified before any change takes effect.
